Introduction

Welcome to Muamma Technologies Inc. By accessing or using our web application, mobile applications, NFT marketplace, token services, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms affect your legal rights and obligations, so please read them carefully.

Eligibility

You must be at least 18 years old to access or use our Services. By agreeing to these Terms, you represent and warrant that you are of legal age to form a binding contract with Muamma Technologies Inc. If you are not of legal age, you must not access or use the Services.

Account Registration and Security

1. Account Creation: To access certain features of our Services, you must register for an account. When registering for an account, you agree to provide accurate, current, and complete information as prompted by our registration forms and to update such information to keep it accurate, current, and complete.

2. Account Responsibility: You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to notify Muamma Technologies Inc. immediately of any unauthorized use of your account or password, or any other breach of security.

3. Account Restrictions: You may not use anyone else’s account at any time without the permission of the account holder. Muamma Technologies Inc. reserves the right to refuse service, terminate accounts, remove or edit content in its sole discretion.

License to Use the Services

Subject to your compliance with these Terms, Muamma Technologies Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

Prohibited Uses

In using the Services, you agree not to:

• Engage in any activities that violate any applicable local, state, national, or international law or regulation.

• Use the Services for any unlawful purpose or to solicit others to perform or participate in any unlawful acts.

• Infringe upon or violate the intellectual property rights of Muamma Technologies Inc. or others.

• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.

• Submit false or misleading information.

• Upload or transmit viruses or any other type of malicious code.

• Attempt to interfere with or circumvent the security features of the Services.

User Content

1. Ownership: You retain all rights in, and are solely responsible for, the content you post to the Services.

2. License Grant: By posting content to the Services, you grant Muamma Technologies Inc. a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and perform such content in connection with the Services.

3. Content Standards: You agree not to post any content that violates our content standards, which prohibit illegal, offensive, or otherwise inappropriate material.

Intellectual Property Rights

The Services and its original content, features, and functionality are and will remain the exclusive property of Muamma Technologies Inc. and its licensors. The Services are protected by copyright, trademark, and other laws of both the Turkey and foreign countries.

Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Beta Version Disclaimer

Beta Phase: Please be aware that Muamma Technologies Inc. Services, including the web application, mobile applications, NFT marketplace, and token services, are currently in their beta phase. This means the Services are in a testing phase and not yet fully operational or free from defects or errors.

Beta Use Risks: By using the Services during this beta phase, you acknowledge and agree that the Services may contain bugs, errors, and other problems that could cause system failures and the loss of data. Your use of the Services during this beta phase is at your own risk.

Feedback and Improvements: We encourage users to provide feedback on the functionality and performance of the Services during the beta phase. Your feedback is invaluable for improving the Services prior to their full release.

Limitation of Liability: To the fullest extent permitted by applicable law, Muamma Technologies Inc. shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Disclaimer of Warranties: You expressly acknowledge and agree that your use of the Services is at your sole risk. The Services and any content, services delivered to you through the Services are (except as expressly stated by us) provided "as is" and "as available" for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

Acknowledgement of Beta Risks: By using the Services, you understand and agree that you may encounter bugs, crashes, and other issues that could cause loss of data or other problems. You assume all risks associated with the use of the Services during the beta phase, and you agree that Muamma Technologies Inc. shall have no liability to you for any issues arising from your use of the Services during this phase.

Dispute Resolution

Informal Resolution: Before filing a claim against Muamma Technologies Inc., you agree to try to resolve the dispute informally by contacting us at [e-mail]. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 7 days after submission, you or Muamma Technologies Inc. may bring a formal proceeding.

Arbitration Agreement: You and Muamma Technologies Inc. agree to resolve any claims relating to these Terms or the Services through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below.

Arbitration Procedures: The arbitration will be conducted by the Istanbul Arbitration Centre (ISTAC) under its rules and pursuant to the laws of Turkey. The arbitration will be conducted in the English language by a single arbitrator who is an attorney with experience in technology and commercial contract law. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions to Agreement to Arbitrate: Either you or Muamma Technologies Inc. may assert claims, if they qualify, in the small claims court of Istanbul, Turkey. However, if the dispute is transferred, removed, or appealed to a different court, we each waive any right to a jury trial.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Changes to Terms

Muamma Technologies Inc. reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 7 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
